Our client is a publicly traded organization with a long-standing presence and an international footprint in the service sector. The company is entering a new chapter marked by growth, increased scale, and expanded service offerings. Our client is seeking a seasoned Head of Governance & Corporate Secretary to lead efficient and effective board operations. A key member of the legal and governance team, this role will oversee the planning and execution of board and committee meetings, foster meaningful director engagement, ensure governance compliance, and safeguard corporate records. This is a high-impact role at the center of decision-making, where your expertise will empower leadership and contribute to the organization’s long-term success.

Responsibilities and Key Contributions:
  • Lead planning and execution of board and committee meetings, including agenda setting, material distribution, and minute-taking.
  • Serve as a key liaison between the board, its committees and executive leadership.
  • Manage director onboarding, ongoing education, annual effectiveness assessments, and compensation reviews.
  • Ensure governance compliance with applicable regulatory, legal and ethical standards across all entities.
  • Oversee annual meeting logistics and proxy materials preparation.
  • Support M&A activity through timely preparation of board-related documentation.
  • Maintain corporate records, oversee governance practices across multiple entities and jurisdictions, and manage a team of two direct reports.
As the Ideal Candidate, you:
  • Bring at least ten years of relevant experience in corporate secretarial and/or board support roles, along with at least five years in a leadership capacity, ideally within regulated sectors and/or publicly traded companies.
  • Experience leading teams across multiple jurisdictions is strongly preferred.
  • Demonstrate in-depth knowledge of corporate governance best practices, regulatory frameworks, licensing, reporting, and compliance obligations across applicable jurisdictions.
  • Have a proven track record supporting boards of directors, committees, and senior executives on governance and risk-related matters, including preparing materials, taking minutes, managing follow-ups, and facilitating complex regulatory discussions.
  • Are adept at liaising with regulators, auditors, legal teams, and risk committees, and skilled in influencing senior leadership to build a strong culture of governance across multiple entities.
  • Champion governance excellence and help embed consistent, high-quality practices across a diverse and evolving organization.
