Key Responsibilities
The Board Director will be responsible for the following:
Strategic Oversight
- Guide and support the development of digital strategies aligned with the company’s long-term objectives.
- Ensure innovation is integrated into the core business strategy.
Technology and Digital Transformation
- Provide oversight and strategic input on digital initiatives, IT investments, and innovation pipelines.
- Assess technology risk and resilience in the organization’s infrastructure and digital offerings.
Governance and Fiduciary Duty
- Fulfill statutory responsibilities in accordance with Canadian corporate governance standards and insurance regulations.
- Participate actively in board meetings and committees, contributing independent judgment and expertise.
Performance Monitoring
- Monitor company performance and hold management accountable for delivering strategic and operational goals.
Risk and Compliance
- Review and evaluate risk management frameworks, including those related to cybersecurity, talent risk, and regulatory compliance.
Innovation Advocacy
- Serve as a champion for innovation and transformation, helping the board stay abreast of industry trends and technological disruption.
Board and Committee Participation
- Foster innovation and support strategic initiatives that enhance customer experience and operational efficiency.
- Engage in relevant board committees (e.g., Technology, Risk) as appropriate to experience.

The ideal candidate is a seasoned and forward-thinking technology leader who has helped scale a start-up or early-stage company and understands the intersection of innovation and governance. The new Board Director will provide strategic oversight and guidance to the executive team, with a particular lens on technology and innovation.

The ideal candidate should possess the following:
- Previous board or advisory experience is required with familiarity with board duties and governance structures, including fiduciary responsibilities.
- Experience as a Chief Technology Officer (CTO) within a start-up or scale-up organization (ideally in fintech, Insurtech, or a similarly regulated industry).
- Proven ability to scale organizations from early growth to maturity
- Deep understanding of digital transformation and agile environments.
- Ability to synthesize technical information and contribute to broader business strategy.
- Understanding of Canadian insurance regulation and OSFI compliance requirements.
- Comfort interpreting financial information and assessing the value of technology investments.
- Excellent judgment, independence of thought, and a collaborative mindset with the ability to engage effectively with a diverse board and executive team, translating complex technical concepts into actionable insights.
- Demonstrated commitment to good governance, diversity, and ethical leadership.
Eligibility Requirements
- Must be Canadian-based and resident in Canada.
- Must meet the organization’s independence criteria and applicable regulatory guidelines for board directors.
